2. Scope

These Legal Notice, Terms of Use and AI Processing Notice govern access to and use of skillextractor.

By accessing or using the Service, you confirm that you have read, understood and agree to these terms.

If you use the Service on behalf of a company, organisation or other legal entity, you confirm that you are authorised to bind that entity to these terms.

If you do not agree to these terms, you must not use the Service.

3. Description of the Service

skillextractor enables users to submit content such as YouTube transcripts, article text, GitHub files, source code, documentation, plain text or similar materials in order to generate AI-based skill files, including files named SKILL.md.

The Service uses third-party artificial intelligence systems to process submitted content and generate output.

The generated output is intended as a draft and productivity aid only. It must be reviewed, validated and adapted by the user before use.

4. AI Processing via Anthropic Claude API

To provide the Service, skillextractor transmits user-submitted content to the Claude API provided by Anthropic, PBC, San Francisco, USA ("Anthropic").

Submitted content may include, depending on what you provide:

  • plain text;
  • YouTube transcripts;
  • article text;
  • GitHub files;
  • source code;
  • project documentation;
  • technical documentation;
  • personal data;
  • confidential information;
  • copyrighted content;
  • trade secrets or business-sensitive information.

By submitting content to the Service, you acknowledge that such content will be transmitted to and processed by Anthropic for the purpose of generating the requested output.

Anthropic's processing is subject to Anthropic's applicable privacy policy, usage policy, commercial terms, data processing terms and technical data retention practices.

Anthropic may process inputs and outputs for purposes such as providing the API service, maintaining security, preventing abuse, enforcing usage policies, complying with legal obligations and operating its systems.

Fellow GmbH does not control Anthropic's systems, infrastructure, policies or retention practices.

Users should review Anthropic's applicable terms and policies before submitting sensitive, confidential or third-party content.

5. Cross-Border Data Transfer

Anthropic is based in the United States. If submitted content contains personal data, transmission of that content to Anthropic may constitute a cross-border transfer of personal data to the United States.

Fellow GmbH relies on appropriate legal, contractual and technical safeguards where required by applicable data protection law. These may include data processing agreements, standard contractual clauses, transfer impact assessments and other safeguards required under Swiss data protection law or, where applicable, the GDPR.

Users are responsible for ensuring that they have the necessary rights, permissions and legal basis to submit any personal data or third-party content to the Service.

6. User Responsibility for Submitted Content

You are solely responsible for all content you submit to the Service.

You must not submit content unless you have all necessary rights, licences, permissions and legal grounds to do so.

In particular, you must not submit content that:

  • infringes copyright, database rights, trade secrets, contractual rights or other intellectual property rights;
  • violates confidentiality obligations;
  • contains personal data that you are not authorised to process or disclose;
  • contains sensitive personal data unless you are legally authorised to submit it;
  • contains confidential customer data without permission;
  • contains source code, credentials, secrets, API keys, private keys, passwords or security-sensitive information that you are not authorised to share;
  • violates applicable law;
  • violates Anthropic's Acceptable Use Policy or usage policies;
  • is unlawful, harmful, abusive, defamatory, discriminatory, misleading or otherwise inappropriate.

7. No Submission of Sensitive or Confidential Content

Unless you are legally authorised to do so and accept the associated risks, you must not submit:

  • sensitive personal data;
  • confidential business information;
  • trade secrets;
  • proprietary source code;
  • authentication credentials;
  • API keys;
  • private keys;
  • passwords;
  • customer records;
  • employee records;
  • HR data;
  • health data;
  • financial data;
  • legal documents;
  • regulated data;
  • any information subject to professional secrecy or contractual confidentiality obligations.

Fellow GmbH is not responsible for consequences resulting from your submission of sensitive, confidential, proprietary or third-party content that you were not authorised to submit.

8. Source Content Retention by Fellow GmbH

Fellow GmbH does not intentionally store submitted source content after processing, except where technically necessary to provide, secure, operate, debug, maintain, improve or legally protect the Service.

However, submitted source content or parts of it may temporarily appear in:

  • server memory;
  • request processing systems;
  • security logs;
  • error logs;
  • infrastructure logs;
  • monitoring systems;
  • queue systems;
  • backups;
  • debugging traces;
  • hosting infrastructure;
  • third-party infrastructure used to provide the Service;
  • Anthropic API systems.

Fellow GmbH applies reasonable technical and organisational measures to limit unnecessary retention of submitted source content.

9. Generated Output Retention

Generated skill output may be stored in your account if you choose to save it.

Generated output may contain summaries, transformations, excerpts, structures or derived information based on submitted content.

You are responsible for reviewing generated output before saving, using, sharing, publishing or integrating it into any system.

Saved generated output may be retained until you delete it, your account is deleted, or retention is otherwise no longer required for operational, legal or security reasons.

10. Accuracy and Reliability of AI Output

AI-generated output may be inaccurate, incomplete, outdated, misleading, unsuitable, biased, unsafe or legally problematic.

The Service may generate:

  • incorrect technical instructions;
  • incomplete skill files;
  • overgeneralised conclusions;
  • fabricated or unsupported statements;
  • inaccurate summaries;
  • insecure recommendations;
  • non-compliant code or documentation;
  • output that does not match your intended use case;
  • output that may infringe third-party rights if used without review.

You are solely responsible for checking, validating and adapting generated output before relying on it.

11. No Professional Advice

The Service does not provide legal, financial, medical, security, compliance, tax, architectural or other professional advice.

Any generated output is provided for informational and productivity purposes only.

You are solely responsible for decisions, actions or omissions based on generated output.

12. No Guarantee of Legal, Technical or IP Compliance

Fellow GmbH does not guarantee that generated output:

  • is accurate;
  • is complete;
  • is original;
  • is free from third-party rights;
  • is suitable for commercial use;
  • is technically correct;
  • is secure;
  • is compliant with laws or regulations;
  • does not infringe copyright or other intellectual property rights;
  • complies with open-source licence obligations;
  • complies with confidentiality obligations;
  • complies with data protection law;
  • complies with your organisation's internal policies;
  • is suitable for production use.

You are responsible for verifying whether generated output may be lawfully and safely used, modified, published, distributed or integrated into your own systems.

13. Intellectual Property Rights

13.1 Submitted Content

As between you and Fellow GmbH, you retain any rights you have in the content you submit.

By submitting content, you grant Fellow GmbH a limited, non-exclusive, worldwide, royalty-free right to process, transmit, transform and use the submitted content solely for the purpose of providing, operating, securing and improving the Service, and as otherwise described in these terms.

13.2 Generated Output

Subject to applicable law, third-party rights and third-party terms, Fellow GmbH assigns to you any rights it may have in generated output created specifically for you through the Service.

This does not affect:

  • rights of third parties in submitted content;
  • open-source licence obligations;
  • Anthropic's terms;
  • rights in pre-existing materials;
  • rights in generic ideas, methods, templates, know-how or functionality;
  • Fellow GmbH's right to provide similar or identical outputs to other users where generated independently or where outputs are generic.

13.3 Feedback

If you provide feedback, ideas, suggestions or improvement proposals, Fellow GmbH may use them without restriction, compensation or obligation to you.

14. Copyright and Third-Party Materials

You are solely responsible for ensuring that submitted content does not infringe copyright, database rights, contractual rights, confidentiality obligations, trade secrets, open-source licences or other third-party rights.

The Service does not verify whether submitted content is subject to copyright, open-source licences, confidentiality restrictions or contractual limitations.

Generated output may be influenced by submitted third-party material. You are responsible for ensuring that any use of generated output complies with applicable rights, licences and obligations.

15. Accounts

Certain features may require an account.

You are responsible for:

  • providing accurate account information;
  • keeping your credentials secure;
  • all activity under your account;
  • immediately notifying Fellow GmbH of unauthorised access.

Fellow GmbH may suspend or terminate accounts where it reasonably believes that an account has been used in breach of these terms, applicable law, security requirements or third-party AI provider policies.

16. Acceptable Use

You must not use the Service to:

  • violate applicable law;
  • infringe third-party rights;
  • process content you are not authorised to process;
  • upload malware, exploits, credentials or harmful code;
  • generate unlawful, abusive, deceptive, discriminatory or harmful content;
  • reverse engineer, attack, overload or disrupt the Service;
  • bypass rate limits, access controls or security measures;
  • scrape, copy or misuse the Service;
  • use the Service for spam, phishing, fraud or deception;
  • generate or improve malware or cyber abuse;
  • violate Anthropic's usage policies;
  • submit content that would expose Fellow GmbH or third-party providers to legal, contractual or regulatory risk.

Fellow GmbH may suspend, limit or terminate access where it reasonably suspects misuse.

17. Security

Fellow GmbH applies reasonable technical and organisational measures to protect the Service.

However, no system is completely secure. Fellow GmbH does not guarantee that the Service will be uninterrupted, error-free, secure or free from vulnerabilities.

You are responsible for taking appropriate precautions, including removing secrets, credentials, personal data and confidential information before submitting content.

18. Third-Party Services

The Service may rely on third-party services, including but not limited to:

  • Anthropic Claude API;
  • hosting providers;
  • authentication providers;
  • payment processors;
  • analytics tools;
  • logging and monitoring providers;
  • email providers;
  • infrastructure providers.

Fellow GmbH is not responsible for the availability, performance, security, policies or acts and omissions of third-party providers, except where liability cannot be excluded under mandatory law.

19. Availability and Changes to the Service

The Service is provided on an "as is" and "as available" basis.

Fellow GmbH does not guarantee that the Service will be available at all times, uninterrupted, error-free or compatible with your systems.

The Service may be modified, suspended, limited or discontinued at any time, including due to maintenance, security incidents, third-party provider outages, legal requirements, technical issues or business reasons.

20. Payment and Subscription Terms

If paid plans are offered, the applicable prices, billing cycles, usage limits and features are displayed at checkout or in the relevant product interface.

Unless otherwise stated:

  • fees are payable in advance;
  • fees are non-refundable except where required by mandatory law;
  • taxes may be added where applicable;
  • Fellow GmbH may change prices with reasonable notice;
  • failure to pay may result in suspension or termination of access.

For consumers, mandatory consumer protection rights remain unaffected.

21. Free, Beta and Experimental Features

The Service may include free, beta, preview or experimental features.

Such features may be unstable, incomplete, changed or discontinued at any time.

Fellow GmbH provides no warranty that beta or experimental features will become generally available or remain available.

22. Data Protection Notice

Fellow GmbH processes personal data in accordance with applicable Swiss data protection law and, where applicable, the GDPR.

Depending on your use of the Service, Fellow GmbH may process:

  • account data;
  • contact data;
  • billing data;
  • submitted content;
  • generated output;
  • usage data;
  • log data;
  • device and browser data;
  • support requests;
  • security and abuse-prevention data.

Purposes of processing include:

  • providing the Service;
  • generating AI output;
  • managing accounts;
  • processing payments;
  • providing support;
  • maintaining security;
  • preventing abuse;
  • improving functionality;
  • complying with legal obligations;
  • enforcing these terms;
  • protecting legal claims.

Personal data may be disclosed to service providers and processors where necessary to provide the Service. This includes Anthropic where content is submitted for AI processing.

If personal data is transferred abroad, Fellow GmbH relies on appropriate safeguards or legal bases as required by applicable law.

Users may have rights under applicable data protection law, including rights of access, rectification, deletion, restriction, objection and data portability where applicable.

23. User Obligations under Data Protection Law

If you submit personal data of third parties, you are responsible for ensuring that:

  • you have a valid legal basis or justification;
  • the affected individuals have been properly informed where required;
  • the submission is lawful;
  • the data is necessary and proportionate;
  • you comply with applicable data protection obligations;
  • you do not submit sensitive personal data unless legally permitted.

If you use the Service as a company, you are responsible for determining whether a data processing agreement is required.

24. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Fellow GmbH, its officers, employees, contractors and affiliates from and against claims, damages, liabilities, losses, costs and expenses arising out of or related to:

  • your use of the Service;
  • content you submit;
  • generated output you use, publish, distribute or integrate;
  • your breach of these terms;
  • your violation of applicable law;
  • your infringement of third-party rights;
  • your unauthorised submission of confidential, personal or proprietary information;
  • your violation of open-source licence obligations;
  • your misuse of AI-generated output.

This clause applies only to the extent permitted by mandatory law and does not limit statutory rights of consumers.

25. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Service and all generated output are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory.

Fellow GmbH expressly disclaims warranties of:

  • accuracy;
  • completeness;
  • availability;
  • reliability;
  • security;
  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • compliance with law;
  • compatibility with your systems;
  • suitability for commercial or professional use.

26. Limitation of Liability

To the fullest extent permitted by applicable Swiss law, Fellow GmbH shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including but not limited to:

  • loss of profits;
  • loss of revenue;
  • loss of business opportunity;
  • loss of goodwill;
  • loss of data;
  • loss of source code;
  • loss of confidential information;
  • business interruption;
  • security incidents beyond Fellow GmbH's reasonable control;
  • reliance on generated output;
  • inaccurate or incomplete AI-generated output;
  • third-party claims arising from submitted content or generated output;
  • third-party service outages;
  • unauthorised use caused by user negligence.

To the fullest extent permitted by applicable Swiss law, Fellow GmbH's total aggregate liability arising out of or in connection with the Service shall be limited to the amount paid by the user to Fellow GmbH for the Service in the three months preceding the event giving rise to the claim.

If the user has not paid any amount for the Service, Fellow GmbH's total aggregate liability shall be limited to CHF 100, to the extent permitted by applicable law.

Nothing in these terms excludes or limits liability for:

  • unlawful intent;
  • gross negligence;
  • death or personal injury;
  • fraud;
  • liability that cannot be excluded or limited under mandatory applicable law;
  • statutory rights of consumers that cannot be waived.

27. User Decisions and Reliance

You remain solely responsible for any decision, action or omission based on generated output.

You must not rely on generated output without independent review, especially where the output may affect:

  • software architecture;
  • production systems;
  • security;
  • compliance;
  • legal obligations;
  • financial decisions;
  • employment decisions;
  • customer data;
  • intellectual property;
  • regulated industries;
  • safety-critical systems.

28. Suspension and Termination

Fellow GmbH may suspend, limit or terminate your access if:

  • you breach these terms;
  • you violate applicable law;
  • your use creates security, legal or operational risk;
  • required by a third-party provider;
  • required by law or authority;
  • you fail to pay applicable fees;
  • the Service is discontinued.

Upon termination, your right to use the Service ends immediately.

Certain clauses, including liability limitations, intellectual property provisions, indemnities, payment obligations, governing law and jurisdiction, survive termination.

29. Changes to These Terms

Fellow GmbH may update these terms from time to time.

Material changes may be communicated through the Service, by email or by other appropriate means where required.

Continued use of the Service after changes become effective constitutes acceptance of the updated terms, unless mandatory law requires otherwise.

30. Export Control and Sanctions

You must not use the Service in violation of applicable export control, sanctions or trade restrictions.

You represent that you are not located in, organised under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions, and that you are not a sanctioned person or acting on behalf of one.

31. Severability

If any provision of these terms is found invalid, unlawful or unenforceable, the remaining provisions remain in full force.

The invalid provision shall be replaced by a valid provision that comes closest to the intended economic and legal effect.

32. No Waiver

Failure by Fellow GmbH to enforce a provision does not constitute a waiver of that provision or any other rights.

33. Assignment

You may not assign or transfer your rights or obligations under these terms without prior written consent from Fellow GmbH.

Fellow GmbH may assign or transfer its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets or by operation of law.

34. Governing Law

These terms and any dispute arising out of or in connection with the Service are governed by Swiss law, excluding its conflict-of-law provisions and excluding the United Nations Convention on Contracts for the International Sale of Goods.

35. Jurisdiction

The exclusive place of jurisdiction is Lucerne, Switzerland.

Mandatory places of jurisdiction, including those applicable to consumers, remain reserved.
